The Compensation Committee assists the Board in discharging its responsibilities related to execute and evaluate the compensation programs of directors of the Board and executives:
  • Develop the criteria for evaluating the performance of the directors of the board and senior management, and regularly review such criteria as well as the annual performance objectives for the directors of the board and senior management and the company compensation standard, structure, system, and policy.
  • Regularly review to which extent the directors of the board and senior management achieve their performance objectives to decide what should be included in their compensation and the monetary values of their compensation based on the performance review results.

(1) Discuss the 2018 remuneration of the directors and supervisors.

(2) Discuss the 2018 remuneration of the managing officers and employees.

The remuneration of directors, supervisors, and members of each committee will evade interests and not participate in the discussion, and the chairman will consult and approve the remuneration of directors and supervisors without objection from the committee members present; the remuneration of managers and employees will be approved by all the attending committee members. Reported to the board of directors, the remuneration of directors and supervisors, each director will avoid the interests, and the chairman consulted the present directors without objection to approve the remuneration of directors, directors and supervisors; the directors whose compensation belongs to the managing officers did not participate in the discussion due to the avoidance of interests, and were consulted by the chairman, approve from the committee members present.
Result:

(1) The proposal was passed and submitted to the board of directors for resolution.

(2) Paid on September 12, 2019.

January 9, 2020 Proposal:

Discuss the 2019 managing officers' year-end bonus proposal and the 2020 annual salary adjustment.

Approved by all members present in the meeting. All the members of the Remuneration Committee avoided it because of their own interests in this case; Approved by the chairman after consultation with the directors present.
Result:

(1) The proposal was passed and submitted to the board of directors for resolution.

(2) Paid on January 22, 2020.

March 24, 2020 Proposal:

Discuss the 2020 remuneration of the management team and the directors and supervisors.

Approved by all members present in the meeting. Reported to the Board of Directors and was passed unanimously.
Result:

(1) The proposal was passed and submitted to the board of directors for resolution.

(2) After report to the general meeting of shareholders, the committee will hold meeting of resolution.

June 16, 2020 Proposal:

(1) Discuss the 2020 remuneration of the directors and supervisors.

(2) Discuss the 2020 remuneration of the managing officers and employees.

The remuneration of directors, supervisors, and members of each committee will evade interests and not participate in the discussion, and the chairman will consult and approve the remuneration of directors and supervisors without objection from the committee members present; the remuneration of managers and employees will be approved by all the attending committee members. Approved by all members present in the meeting. All the members of the Remuneration Committee avoided it because of their own interests in this case; Approved by the chairman after consultation with the directors present.
Result:

(1) The proposal was passed and submitted to the board of directors for resolution.

(2) Paid on January 27, 2021.

March 22, 2021 Proposal:

Discuss the 2021 remuneration of the management team and the directors and supervisors.

Approved by all members present in the meeting. Reported to the Board of Directors and was passed unanimously.

(2) After report to the general meeting of shareholders, the committee will hold meeting of resolution.

July 23, 2021 Proposal:

(1) Discuss the 2021 remuneration of the directors and supervisors.

(2) Discuss the 2021 remuneration of the managing officers and employees.

March 23, 2022 Proposal:

(1) Discuss the Remuneration Committee Charter revision.

(2) Discuss the 2022 remuneration of the management team and the directors and supervisors
